SUBJECT: Riverwalk ? City Mills Exchange and Easement Agreement



INITIATED BY: City Manager?s Office





Recommendation: Approval is requested to authorize the City Manager to execute

all necessary documents for the Riverwalk ? City Mills Exchange and Easement

Agreement between the City of Columbus and City Mills Properties, LLC in order

to construct the Riverwalk at the City Mills location.



Background: As part of the Transportation Investment Act of 2010, the River

Valley Region approved a 1% sales tax for Transportation (Transportation

Special Purpose Local Option Sales Tax or TSPLOST). One of the projects for

Muscogee County was $10,000,000 for the completion of the Riverwalk at the City

Mill and Bibb Mill locations.



Analysis: These easements are necessary to construct the Riverwalk at the

City Mills location as the property is owned by City Mills Properties, LLC. In

exchange for the Riverwalk easement, City Mill Properties LLC is requesting

exchanging properties and property rights with the City in order to develop the

City Mills Property. The city has worked with the owner to develop a

comprehensive plan for the Riverwalk and City Mills site which will include a

joint parking lot for their facility and public parking for the citizens to

access the Riverwalk at this location. The city agrees to contribute $250,000

towards the development of a parking lot. A separate Memorandum of

Understanding (MOU) will be processed for a parking lot agreement and funding.

This easement/property exchanges includes closing a certain section of 18th as

outlined in the attached documentation.



1. Relocating an existing City Mills parking easement on City property of

21,653 sq ft from Parcel A-1 on Exhibit B to Parcel 1 on Exhibit D. This

includes closing a portion of 18th Street. (No financial impact.)

2. City agrees to grant City Mills a parking and access easement on Parcel 6 of

Exhibit F of 44,807 sq ft. with the City retaining all rights to the Riverwalk

easement in exchange for City Mills constructing a parking lot with 19 public

parking spaces. (No financial impact for the exchange. City will contribute

$250,000 towards the construction of the parking lot at the completion of the

parking lot, with a total estimated cost of $500,000.)

3. City agrees to sell to City Mills 10,000 sq ft at $8/sq ft for a total of

$80,000, Parcel 4 of Exhibit H. (Revenue to the City of $80,000.)

4. City Mills releases parking easement on Parcel PE1 of 6,395 sq. ft. and

Parcel PE2 of 4,430 sq. ft. of Exhibit J for fee for 5,412 sq. ft. for Parcel 3

on Exhibit J. (No financial impact.)

5. City Mills to grant City a Riverwalk easement of 15,614 sq. ft.of Exhibit M

(6,107 sq. ft. + 9,507 sq. ft.) in exchange for fee simple Parcel 5 of Exhibit

O of 8,964. (Revenue to City Mills of $6,358.)

6. City to sell 3,600 sq. ft. (144 ft. x 25 ft.) of Parcel 1 on Exhibit D to

City Mills for $4/sq. ft. totaling $14,400 to allow to City Mills to have

frontage on 1st Avenue to prevent the City Mills parcel from being landlocked.

(Revenue to the City of $14,400.)



Financial Considerations: The net result of the property exchange and execution

of the easements is payment from City Mill Properties, LLC to the City in the

amount of $88,042. The $250,000 city contribution for the construction of a

parking lot will be paid to City Mills Properties, LLC upon completion of a

parking lot with 19 public parking spaces.



Legal Considerations: Council approval is required for all real estate

transactions.



Recommendation: Approval is requested to authorize the City Manager to

execute all necessary documents for the Riverwalk ? City Mills Exchange and

Easement Agreement between the City of Columbus and City Mills Properties, LLC

in order to construct the Riverwalk at the City Mills location.

A RESOLUTION TO AUTHORIZE THE CITY MANAGER TO EXECUTE THE RIVERWALK ? CITY

MILLS EXCHANGE AND EASEMENT AGREEMENT BETWEEN COLUMBUS CONSOLIDATED GOVERNMENT

AND CITY MILLS PROPERTIES, LLC.



WHEREAS, the River Valley Region approved a 1% sales tax for Transportation

thru the Transportation Investment Act (TIA) of 2010; and,



WHEREAS, one of the projects approved was the connections of the Riverwalk at

the City Mills and Bibb Mills locations; and,



WHEREAS, the connection of the Riverwalk at City Mills requires the execution

of the attached Riverwalk- City Mills Exchange and Easement Agreement between

Columbus Consolidated Government and City Mills Properties, LLC (?the

Agreement?) as well as all other documents necessary to implement the

Agreement.



NOW, THEREFORE, THE COUNCIL OF COLUMBUS, GEORGIA, HEREBY RESOLVES AS FOLLOWS:

That the City Manager is hereby authorized to execute the Agreement in

substantially the form attached to this Resolution and all other documents

necessary to implement the Agreement.
