SUBJECT: Westville ? Requested Revisions and Extension of Memorandum of

Agreement

Recommendation: Approval is requested to authorize the City Manager to enter

into an amended Memorandum of Agreement (MOA) with Historic Westville, Inc. to

extend the timeframe to begin normal operations of the Living History Museum,

to extend the lease agreement for the property at 3535 B South Lumpkin Road,

and to revise language within the MOA to incorporate a partnership between

Columbus Consolidated Government and Westville for the development of a public

parking lot.



Background: On August 13, 2013, Council approved per Resolution # 258-13 to

authorize the City Manager to enter into a Memorandum of Agreement (MOA) with

Historic Westville, Inc. for the purpose of relocating Westville's Living

History Museum to Columbus, Georgia. The agreement was executed on August 23,

2013 giving Historic Westville, Inc. 24 months to begin normal operations of

the Living History Museum with an expiration date of August 22, 2015. On

September 15, 2015, Council approved per Resolution #250-15 to authorize the

City Manager to execute an Amendment to the MOA with Historic Westville, Inc.

to extend the timeframe to begin normal operation of the Living History Museum.

Lastly per Resolution 287-16, Council approved revising language within the MOA

to include the following: (1) allow Westville to use Tract A as collateral to a

loan as long as the City?s lien stays in 1st position; (2) remove trees along

S. Lumpkin right-of-way for the relocation of the buildings, then replace them

at no cost to the City, and; (3) lease the City-owned building at 3535 B South

Lumpkin Road for $1 per year. On April 11, 2017, an update was presented to

City Council on the Westville development. Westville is requesting the

following revisions to the MOA.

1. Development of Parking Lot on Tract A2 ?

? Westville has requested the City to assist with the development of a parking

lot that would be utilized by the general public for parking access to the

trail at that location.

? Westville would also utilize the parking lot for the visitors to their

facilities.

? The city would contribute $250,000 to the parking lot development, and

Westville would pay the remaining cost estimated at $350,000. Total cost

estimated for the development of the parking lot is $600,000.

? The city would also contribute $21,500 to install lights for the parking lot

? The proposed funding source for the installation of the parking lot and

lighting would be funded with OLOST Infrastructure Funding.

? The city would be also responsible for the monthly utility bill for the

lights that is estimated to be $220 per month. This would be paid utilizing the

Street Lighting budget in the General Fund.



2. Extend the current MOA to expire on August 31, 2018.

3. Extend the current lease for the property at 3535 B South Lumpkin Road to

expire on August 31, 2018.



Analysis: The Memorandum of Agreement between the City and Historic Westville,

Inc. will remain the same except for providing an extension that will expire on

August 31, 2018. Also the revised MOA will allow for the development of a

shared parking lot, and to extend the lease agreement for the building located

at 3535 B South Lumpkin Road to August 31, 2018.

Financial Considerations: The City would be contributing $250,000 towards the

development of a shared parking lot, $21,500 for the installation of lighting

for the parking lot, and an estimated monthly utility payment for the lighting

in the amount of $220 per month. The proposed funding source would be OLOST

Infrastructure Funding for the parking lot development and the installation of

lighting. The monthly utility bill for the lighting would be paid utilizing the

Street Lighting budget in the General Fund.

Legal Considerations: Council approval is required for all real estate

transactions.



Recommended /Actions: Approval is requested to authorize the City Manager to

enter into an amended Memorandum of Agreement with Historic Westville, Inc. to

extend the timeframe to begin normal operations of the Living History Museum,

to extend the lease agreement for the property at 3535 B South Lumpkin Road,

and to revise language within the MOA to incorporate a partnership between

Columbus Consolidated Government and Westville for the development of a public

parking lot.

A RESOLUTION AUTHORIZING THE CITY MANAGER TO ENTER INTO AN AMENDED

MEMORANDUM OF AGREEMENT WITH HISTORIC WESTVILLE, INC. TO EXTEND THE TIMERFRAME

TO BEGIN NORMAL OPERATIONS OF THE LIVING HISTORY MUSEUM, TO EXTEND THE LEASE

AGREEMENT FOR THE PROPERTY LOCATED AT 3535 B SOUTH LUMPKIN ROAD, AND TO REVISE

LANGUAGE WITHIN THE MOA WHICIH WILL INCORPORATE A PARTNERSHIP FOR THE

DEVELEOPMENT OF A SHARED PARKING LOT.



WHEREAS, on September 1, 2016, the City Manager entered into an amended

Memorandum of Agreement (MOA) with Historic Westville, Inc. for the relocation

of their Living History Museum in Columbus, Georgia; and,



WHEREAS, Historic Westville, Inc. has asked the City for a third

amendment to the MOA to extend the timeframe to begin normal operations of the

Living History Museum through August 31, 2018; and,



WHEREAS, Historic Westville has requested to extend the lease agreement for the

property located at 3535 B South Lumpkin be to August 31, 2018; and,



WHEREAS, Historic Westville is requesting the City partner with them in the

development of a public parking lot on Tract A2; and,



WHEREAS, the City will contribute $250,000 to the parking lot development, and

Historic Westville will pay the remaining cost estimated at $350,000 with

$600,000 being the total cost estimated for the development of the parking lot;

and,



WHEREAS, the City will contribute $21,500 to install lights for the parking

lot; and,



WHEREAS, the City would utilize OLOST infrastructure Funding for the

installation of the parking lot and lighting; and,



WHEREAS, the City will pay the monthly utility bill of the lights, that is

estimated to be $220 per month, which will be funded with the Street Lighting

budget in the General Fund.



NOW, THEREFORE, THE COUNCIL OF COLUMBUS, GEORGIA, HEREBY RESOLVES AS FOLLOWS:



That the City Manager is hereby authorized to execute an amended

Memorandum of Agreement with Historic Westville, Inc. per the terms mentioned

above.
