SUBJECT: Property Exchange Agreement with Columbus Regional Medical

Center



INITIATED BY: Amy Carbajal, Director of Community Reinvestment







Recommendation: Approval is requested to execute a Property Exchange Agreement

and Addendum to Medical Office Lease Agreement. Columbus Regional Medical

Center is requesting to acquire right-of-way at the corner of Talbotton Road

and Hamilton Road for parking, landscaping and signage as an entry feature to

their campus. In exchange for rental property at 2000 10th Avenue, Suite 410.

The City will receive a credit with in the amount of $47,400 to be applied to

offset rental obligations under the Lease Agreement under the terms and

conditions set forth herein for approximately 18 months.



Background: The City entered into a Lease Agreement to occupy office

space on the Columbus Regional Medical Center campus for the Employee Health

Care Clinic. About the same time, representatives from Columbus Regional

Medical Center (CRMC) approached the City to acquire the right-of-way at the

corner of Talbotton Road and Hamilton Road for parking and entrance feature

improvements. CRMC plans to expand their parking and install landscaping on

the corner with signage to act as an entry feature to the campus. Currently

the property is sloped with a utility easement which limits the use of this

corner piece of property. The renderings for the new landscape feature are

attached for your review.



Community Reinvestment was able to negotiate with CRMC to offset the rent for

the Employee Health Care Clinic with the value of this land. The land was

appraised by CRMC at $47,400. This is a fair appraisal. The offset will allow

the Employee Health/Wellness Complex to function rent free for nearly 18

months. In addition, CRMC also asked that an alley be abandoned in the

process. It is outlined in the Property Exchange Agreement that the alley will

be abandoned by the City.



Analysis: This exchange allows for a beautification project from which the

City benefits as well as reduced costs for the Employee Health Care Clinic,

which also benefits the City.



Financial Considerations: The Employee Health Care Clinic will enjoy a $47,400

reduction in expenses.



Projected Annual Fiscal Impact Statement: None.



Legal Considerations: Council must approve all real estate transactions.



Recommendations/ Actions: Authorize the City Manager to execute the Property

Exchange Agreement and Addendum to Medical Office Lease Agreement.

A RESOLUTION AUTHORIZING THE CITY MANAGER TO EXECUTE THE PROPERTY EXCHANGE

AGREEMENT AND ADDENDUM TO MEDICAL OFFICE LEASE AGREEMENT WITH COLUMBUS REGIONAL

MEDICAL CENTER TO EXCHANGE RIGHT OF WAY AT THE CORNER OF HAMILTON ROAD AND

TALBOTTON ROAD FOR CREDIT EQUAL TO THE APPRAISED VALUE TOWARD THE CITY EMPLOYEE

HEALTH CARE CLINIC RENT.

WHEREAS, tenant is the owner that certain real property situated near the

intersection of Talbotton Road and Hamilton Road in Columbus, Muscogee County,

Georgia and being more particularly described and shown in Exhibit A attached

hereto and incorporated herein by this reference (?Exchange Property?); and,

WHEREAS, tenant is also the owner of that certain alleyway connecting Hamilton

Road and 7th Avenue in Columbus, Muscogee County, Georgia and being more

particularly described and shown in Exhibit A (?Alley?); and,

WHEREAS, tenant and Landlord agree that the appraised fair market value of the

Exchange Property and Alley together is $47,400; and,



WHEREAS, tenant and Landlord have reached an agreement whereby Tenant

shall convey any and all of its rights and interests in the Exchange Property

to Landlord and abandon any and all of its rights and interests in the Alley,

and upon such conveyance and abandonment, Tenant shall receive a credit with

Landlord in the amount of $47,400 to be applied to offset its rental

obligations under the Lease Agreement under the terms and conditions set forth

herein; and,



WHEREAS, tenant and Landlord agree that the Lease Agreement shall

remain in full force and effect on its same terms and conditions, unless

otherwise provided herein.



NOW, THEREFORE, THE COUNCIL OF COLUMBUS, GEORGIA, HEREBY RESOLVES AS

FOLLOWS:

That the City Manager is hereby authorized to execute the Property

Exchange Agreement and Addendum to Medical Office Lease Agreement which will

transfer the properties and reduce the Employee Health Care Clinic rent by the

appraised value of the land.
