WHEREAS, Public Service Cellular, Inc. (PSC) presently provides wireless

communication service to the consolidated government;



WHEREAS, ALLTEL Communications, Inc. is purchasing substantially all of the

assets of PSC as shown by letter dated February 17, 2005;



WHEREAS, the agreement between PSC and Columbus provides that the Columbus

Council shall consent to any transfer or assignment of such assets or wireless

service;



WHEREAS, the Columbus Council hereby consents to the assignment of PSC assets

and wireless service by ALLTEL Communications, Inc.



NOW, THEREFORE, THE COUNCIL OF COLUMBUS, GEORGIA HEREBY RESOLVES:



We hereby consent to the assignment and purchase of assets of Public Service

Cellular, Inc. (PSC) by ALLTEL Communications, Inc. and we consent to the

assumption of the current agreement for provision of wireless communication

service (PSC) by ALLTEL Communications, Inc. through the term of the current

agreement. We hereby authorize the City Manager to sign the attached

acceptance confirming consent to such assignment to ALLTEL Communications, Inc.

and to mail the same to all necessary parties.
