MINUTES OF THE MEETING OF THE
DEVELOPMENT AUTHORITY OF COLUMBUS GEORGIA
February 3, 2005

Bob Gilson, Chairman, noting that a quorum was present and proper notice had
been given in accordance with the requirements of Georgia law, called the
February 3, 2005 meeting to order.
MINUTES
Upon motion made by Stella Shulman and seconded by Fernando Verdree, the
Authority unanimously approved the minutes of the January 6, 2005 meeting
hereto attached as Exhibit ?A?.
FINANCIAL REPORT
Fernando Verdree reviewed the financial information and upon motion made by
Stella Shulman and seconded by Billy Blanchard, the Authority unanimously
approved the January 2005 Financial Report which is attached hereto as Exhibit
?B?. He reported that a check for $450,000 was given to Waggoners Project but
some of this probably will be returned for expenses which should be paid by the
company. He reported that the Miller Loan had been renewed. It was suggested
that unfunded commitments should be included in the financial reports.
ECONOMIC DEVELOPMENT UPDATE ? Becca Hardin congratulated Isaiah Hugley upon his
appointment as City Manager. Becca updated the Authority on the status of the
H&K project. Discussion took place. Becca Hardin reviewed her report which is
attached as Exhibit ?C?. There are 16 active projects with 4 of them being
?hot? and 3 of the 4 being international. First Data/Remitco held grand
opening on January 21st. We received some substantial leads from an Austin
consultant. Wayne Waggoner was awarded the OneGeorgia Grant by Governor
Perdue. We have submitted an application to host the GEDA Spring 2006
Conference. Richard Bishop reported on a project on Gateway Blvd which will
require rezoning.
PROPERTY
Dayton Preston reported the following:
1. The MTP Spec Building is progressing well.
2. Ed Sprouse updated the Authority on Cosmyl bankruptcy. Janeen Tucker will
be working with the 41 employees being displaced. The Authority may want to
investigate further the possibilities for the building.

LEGAL ISSUES
1. The Waggoners Trucking - Ed Sprouse reported that the Authority has taken
title to Lummus property and will be leased back to Waggoners Trucking until
bond financing can be obtained. The monthly charge by the Authority to
Waggoners Trucking for the lease has not yet been determined. Waggoners
Trucking has closed on the Mitchell property. The City is going to convey the
property on Blanchard Blvd to the Authority. It was decided that Becca Hardin
and Ed Sprouse will compile a list of the monies spent and what Wayne Waggoner
is expecting from the City. A document of expectations needs to be discussed
with Wayne Waggoner for clarification. It would be ideal to have Tim Filz
present if possible.
2. Project Poly ? The lease between KPG and CEDC is bond financed and the
existing sublease will terminate. The CEDC will acquire the entire project and
lease back in a $2M bond finance and CEDC enters into a 20-year lease with
Project Poly. This would return to the Authority $1.4M. Project Poly has
signed a letter of intent for agreement with CEDC and the Authority. Upon
motion made by Stella Shulman and seconded by Fernando Verdree, the Authority
approved the terms of agreement for Project Poly which includes a commitment of
$25,000 for road improvement. There was a concern about air quality. The
company might need to install a catalytic converter. Richard Bishop reported
that new data might provide a challenge to non-attainment status.
OTHER ISSUES
On behalf of the Authority, Bob Gilson expressed congratulations to Isaiah
Hugley and recognized Richard Bishop as a tremendous asset.
Becca Hardin introduced Rita Lusk who is a new member of the ED team.
There being no further business to come before the Authority, the meeting was
adjourned by Bob Gilson, the chair.
