MINUTES OF THE MEETING OF THE

DEVELOPMENT AUTHORITY OF COLUMBUS GEORGIA

April 14, 2005

Bob Gilson, Chairman, noting that a quorum was present and proper notice had

been given in accordance with the requirements of Georgia law, called the April

14, 2005 meeting to order.



MINUTES

Upon motion made by Jimmy Yancey and seconded by Allen Taber, the Authority

unanimously approved the minutes of the March 3, 2005 meeting hereto attached

as Exhibit ?A?.



FINANCIAL REPORT

Fernando Verdree reviewed the financial information. It was reported that

$1.4M is expected from ICForm. The Authority will revisit the Miller Loan

after receive these funds. He also reviewed the section about unfunded

commitments. Upon motion made by Allen Taber and seconded by Stella Shulman,

the Authority unanimously approved the March 2005 Financial Report which is

attached hereto as Exhibit ?B.



ECONOMIC DEVELOPMENT UPDATE ? Mike Gaymon reviewed Becca?s report which is

attached as Exhibit ?C?. Yesterday ICForm, Inc announced locating in

Columbus. Project Crocus? final selection was not Columbus. The company will

spend a month doing due diligence. The support of the City has been very

important to economic development and the staff appreciates all the assistance

they receive from the City personnel. He reported that he and Becca are

visiting 5 companies in Germany next week one of which is Project Crocus. The

community learned a number of things from this project. Seiko made some good

contacts while in Detroit. Mike Gaymon pointed out the staff is being

pro-active with marketing as evidenced by Becca?s report. The Chamber assisted

GDEcD with the VIP International Visit on April 13 & 14. He pointed out the

article about Valley Partnership and Columbus, GA in the latest Georgia Trend.

The growth of Fort Benning was reported in Atlanta Journal Constitution. Biff

addressed the state department heads on the growth that is coming for Fort

Benning and how this can benefit the State. This again shows Columbus being

pro-active. A very important achievement is the removal of Columbus from the

non-attainment list.



PROPERTY

1. A survey is being made on the river front property.

2. The Eastern Connector is well underway.

3. Mike Gaymon and Becca Hardin will visit H&K while in Germany. The focus of

discussion was how can we help get project back on track. Biff update group on

his efforts.



OLD BUSINESS

Biff gave an update on Techsphere. The company has a $20M contract and a $45M

line of credit on line to be solidified. They are looking at expanding. They

company has produced 2 40-feet prototypes. PBS will be taping a segment on how

the region is approaching handling the growth for Fort Benning



NEW BUSINESS

The Authority agreed to run the cost of the VIP Tour through the Authority

accounts as just in/out money.



LEGAL ISSUES

1. Upon motion made by Dick Ellis and seconded by Fernando Verdree, the

Authority unanimously approved the Inducement Resolution in amount of $2M bonds

for acquisition of property which the Authority will lease from CEDC and

subleased to ICForm, Inc.

2. Upon motion made by Jimmy Yancey and seconded by Allen Taber, the Authority

unanimously approved the Inducement Resolution in the form required by

OneGeorgia found in Exhibit D for application of funds.

3. Upon motion made by Jimmy Yancey and seconded Allen Taber, the Authority

approved the Inducement Resolution for Riverstone Commercial Properties, LLC in

the amount of $7.4M in the form hereto attached as Exhibit E..



OTHER ISSUES



Isaiah Hugley reported that the City Council has declared the 692 acres in

Cusseta-Chattahoochee County as surplus and available for sale. This does not

mean that there is a buyer although there has been some interest in the land.

Biff reminded the Authority that the BRAC report will be put in 4 weeks with

the final report being released in November. Mike Gaymon reported that there

was a meeting to look at what is happening in Columbus in retail market.

Carmen Cavezza is taking the lead with CSU doing a study to gather data to

determine what is actually happening with retail sales in region.



There being no further business to come before the Authority, the meeting was

adjourned by Bob Gilson, the chair.
